Vendor Terms

1. Introduction These Vendor Terms & Conditions ("Agreement") govern the relationship between Automate. Bizs.In ("Company") and the vendor ("Vendor") providing goods and/or services. By entering into this agreement, Vendor agrees to comply with these terms. 2. Vendor Obligations Vendor must provide high-quality goods/services that meet agreed-upon specifications. All deliveries must be completed within the stipulated time frame, unless otherwise agreed. Vendor must ensure compliance with all applicable laws, regulations, and industry standards. Vendor shall not engage in unethical business practices, including price manipulation or false advertising. 3. Payment Terms Payment will be processed within 7 days after invoice submission and approval. Any disputes regarding payments must be reported within 7 days of receipt. Late payments may be subject to penalties as per our payment policy. 4. Intellectual Property & Confidentiality Vendor agrees not to disclose or use Company’s confidential information for any purpose other than fulfilling contract obligations. Any intellectual property created by the Vendor on behalf of the Company shall be the sole property of the Company. 5. Liability & Indemnification Vendor shall indemnify and hold harmless Automate.Bizs.in from any claims, damages, or liabilities arising due to non-compliance or negligence. The Company is not liable for indirect, incidental, or consequential damages arising from Vendor’s performance. 6. Termination Either party may terminate this agreement with a 30 days written notice if the other party fails to meet obligations. Immediate termination may occur in cases of fraud, legal violations, or breach of contract terms. 7. Governing Law & Dispute Resolution This agreement shall be governed by the laws of Mumbai, India. Any disputes shall be resolved through arbitration or mediation before pursuing legal action. 8. Amendments The Company reserves the right to update these terms.
